Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and 2Matter OÜ, a company registered in Estonia ("2Matter", "we", "us", "our"), governing your access to and use of the Velolog mobile application and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this age requirement. If you are under the age of 18 (or the age of legal majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

We do not knowingly collect personal data from children under the age of 13. If we become aware that a user is under 13, we will promptly delete their account and associated data.

2. Account Registration

2.1 Account Creation

To use the Service, you must create an account by signing in through a supported third-party authentication provider (e.g., Google or Apple). You agree to provide accurate information during registration and to keep your account credentials secure.

2.2 One Account Per User

Each user is permitted one account. Account sharing, transferring, or assigning your account to another person is strictly prohibited.

2.3 Account Security

You are solely responsible for all activity under your account. You must notify us immediately if you suspect unauthorized access. We are not liable for any loss arising from unauthorized use of your account.

3. Description of the Service

Velolog is a bicycle component wear tracking and maintenance information tool. The Service allows users to:

  • Register and manage bicycles
  • Track component installation, usage, and wear
  • Log ride mileage
  • Receive maintenance-related informational notifications
  • Connect external activity-tracking services to import ride data

3.1 Informational Purpose Only

The Service is provided for informational purposes only. Velolog is not a bicycle repair service, a certified maintenance provider, or a substitute for professional mechanical advice. All maintenance information, wear indicators, and suggestions presented by the Service are general guidance based on commonly available knowledge and user-provided data.

You are solely responsible for all decisions regarding the maintenance, repair, and use of your bicycle and its components. We expressly disclaim any responsibility for personal injury, property damage, or any other harm arising from your reliance on information provided by the Service.

4. Subscription and Payment

4.1 Subscription Model

The Service operates on a subscription basis. Current pricing is displayed within the application and on the applicable platform storefront at the time of purchase.

4.2 Billing and Auto-Renewal

Subscriptions are billed on a recurring basis through the platform storefront where you subscribed. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize recurring charges to your chosen payment method.

4.3 Cancellation

You may cancel your subscription at any time through the settings of the platform storefront where you subscribed (e.g., Google Play, Apple App Store). Upon cancellation, you retain access to the Service until the end of your current billing period. No partial refunds are provided for unused portions of a billing period.

4.4 Refunds

All payments are processed by the respective platform storefront. Refund requests must be directed to the platform through which the purchase was made and are governed by that platform's refund policies. 2Matter does not process refunds directly.

4.5 Right of Withdrawal

Under the EU Consumer Rights Directive (2011/83/EU), you may have a 14-day right of withdrawal for digital subscriptions. Since all purchases are processed through the platform storefront (Google Play or Apple App Store), withdrawal requests are handled by the respective platform in accordance with their policies.

4.6 Price Changes

We reserve the right to change subscription pricing. You will be notified of any price change at least thirty (30) days before it takes effect. Price changes apply at the start of your next billing period following the notice period. If you do not agree with the new pricing, you may cancel your subscription before the change takes effect.

5. Third-Party Services

5.1 External Integrations

The Service may integrate with third-party activity-tracking platforms and other external services to import ride and bicycle data. Your use of such third-party services is governed by their respective terms of service and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party service.

5.2 Authorization and Revocation

When you connect a third-party service, you authorize us to access and process the data made available through that connection (such as ride distance, date, and bicycle information) in accordance with these Terms and our Privacy Policy. You may disconnect third-party services at any time through the Service. Upon disconnection, we will cease importing new data from that service, but data already incorporated into the Service may be retained as described in our Privacy Policy.

5.3 Third-Party Data Compliance

We process third-party data in compliance with applicable data-sharing agreements and platform policies. We may be required to delete or limit retention of certain data originating from third-party services in accordance with their terms.

6. User Data and Privacy

6.1 Data We Collect

In the course of providing the Service, we collect and process certain data, including:

  • Account information (e.g., email address, display name)
  • User preferences and settings
  • Bicycle and component data you create within the Service
  • Ride and activity data imported from connected third-party services
  • Subscription and payment status (payment details are handled by the platform storefront and are not stored by us)

6.2 Privacy Policy

Our collection, use, storage, and protection of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By using the Service, you acknowledge the data practices described therein.

6.3 Your Rights

Where applicable law provides, you have the right to:

  • Access the personal data we hold about you
  • Rectify inaccurate personal data
  • Delete your account and associated personal data
  • Export your data in a portable format

6.4 Account Deletion

You may request deletion of your account at any time through the Service. Upon confirmed deletion, we will permanently remove your personal data in accordance with applicable law. Certain anonymized or aggregated data that cannot be linked to you may be retained for analytical purposes.

6.5 Data Storage

Your data is stored on servers located within the European Union. We rely on reputable third-party infrastructure providers and implement appropriate technical and organizational measures to protect your data.

7. Intellectual Property

7.1 Ownership

The Service, including but not limited to its source code, object code, design, user interface, visual elements, graphics, icons, logos, trademarks, trade names, and all content created by 2Matter, is the exclusive intellectual property of 2Matter OÜ and is protected by applicable copyright, trademark, and other intellectual property laws.

7.2 Restrictions

You may not, directly or indirectly:

  • Copy, reproduce, distribute, or create derivative works based on any part of the Service
  • Decompile, disassemble, reverse-engineer, or attempt to derive the source code of the Service
  • Modify, adapt, translate, or create any product or service that mimics or replicates the Service or any of its features, design elements, or visual style
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices
  • Use any part of the Service (including code, functionality, design, or content) for commercial purposes without prior written authorization from 2Matter
  • Use the name "Velolog", the 2Matter name, or any associated trademarks, logos, or branding in a manner that suggests endorsement, affiliation, or sponsorship by 2Matter without prior written authorization, or in any way that is misleading or defamatory

7.3 License to Use

Subject to your compliance with these Terms and an active subscription, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service on your personal device for your personal, non-commercial purposes only.

8. User Content and Feedback

8.1 User Data Ownership

You retain ownership of the bicycle, component, and ride data you create within the Service. We process your data solely to provide and operate the Service, as described in our Privacy Policy. Upon account deletion, your personal data is removed in accordance with our Privacy Policy. We may retain anonymized and aggregated data that cannot be linked to you for analytical and service improvement purposes.

8.2 Feedback

Any feedback, suggestions, ideas, bug reports, or other communications you provide to us regarding the Service ("Feedback") are provided voluntarily and without expectation of compensation. You grant us an unrestricted, perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, distribute, and otherwise exploit such Feedback for any purpose, including but not limited to improving the Service, without attribution or obligation to you.

8.3 Analytics

We may collect and analyze anonymized and aggregated usage data, including patterns of interaction with the Service, to improve the Service and for other legitimate business purposes. Such analytics may be performed using internal tools or third-party analytical methods, including automated processing.

9. Prohibited Uses

You agree not to:

  • Use the Service for any unlawful, harmful, or fraudulent purpose
  • Interfere with or disrupt the operation of the Service or its underlying infrastructure
  • Attempt to gain unauthorized access to any part of the Service, other users' accounts, or related systems
  • Use automated scripts, bots, scrapers, or similar tools to access or interact with the Service
  • Circumvent, disable, or interfere with any security or access-control features of the Service
  • Use data obtained through the Service to train artificial intelligence or machine learning models
  • Resell, sublicense, or commercially exploit any aspect of the Service
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the Service in any manner that could damage, overburden, or impair the Service

10. Disclaimers

10.1 "As Is" and "As Available"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the fullest extent permitted by applicable law, 2Matter expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, and uninterrupted availability.

10.2 No Guarantee of Availability

We do not guarantee that the Service will be available at all times, uninterrupted, error-free, or free of harmful components. The Service may be subject to delays, interruptions, or performance issues. We are not liable for any inability to access or use the Service for any reason.

10.3 No Professional Advice

The Service does not provide professional bicycle maintenance, repair, or safety advice. All information is presented for general informational purposes only and should not be treated as a substitute for professional mechanical inspection or servicing. You use the Service and act on its information entirely at your own risk.

10.4 Third-Party Services

We make no representations or warranties regarding the accuracy, completeness, or reliability of data obtained from third-party services. Third-party integrations may be modified, suspended, or discontinued at any time without notice.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, 2MATTER OÜ, ITS FOUNDERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY:

  • Direct, indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, goodwill, or anticipated savings
  • Personal injury, property damage, or any harm to health or safety
  • Damages arising from your use of or inability to use the Service
  • Damages arising from any information, content, or recommendations provided by the Service
  • Damages arising from unauthorized access to or alteration of your data
  • Damages arising from the conduct of any third party on or related to the Service

REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF 2MATTER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

If, notwithstanding the foregoing, 2Matter is found liable for any reason, our total aggregate liability shall not exceed the amount you have actually paid to 2Matter for the Service during the twelve (12) months immediately preceding the event giving rise to the claim.

12. Indemnification

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless 2Matter OÜ, its founders, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

  • Your willful misuse of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any third-party claims resulting from your unlawful or unauthorized use of the Service

13. Modifications

13.1 Modifications to the Service

We reserve the right to modify, update, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you. This includes changes to features, functionality, user interface, supported platforms, and integrations.

13.2 Modifications to These Terms

We may revise these Terms at any time at our sole discretion. The updated Terms will be effective upon posting. Your continued use of the Service after any modification constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

14. Termination

14.1 Termination by You

You may stop using the Service and delete your account at any time through the account management features within the Service.

14.2 Termination by Us

We reserve the right to suspend or terminate your account and access to the Service if you violate these Terms, engage in fraudulent or abusive activity, or conduct yourself in a manner harmful to the Service or other users. If you have an active paid subscription and your account is terminated by us without cause, you will receive a pro-rata refund for the unused portion of your billing period.

14.3 Effect of Termination

Upon termination, your license to use the Service is immediately revoked. We are under no obligation to retain your data following termination, except as required by applicable law. Sections of these Terms that by their nature should survive termination (including but not limited to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) shall survive.

15. Dispute Resolution

15.1 Informal Resolution

Before initiating any formal proceedings, you agree to first contact us and attempt to resolve any dispute informally within thirty (30) days.

15.2 Mediation

If the dispute cannot be resolved informally, either party may propose mediation through a mutually agreed mediator. Mediation is voluntary and non-binding.

15.3 Jurisdiction

If mediation does not resolve the dispute, the courts of Estonia shall have jurisdiction, subject to any mandatory consumer protection rules in your country of residence that may grant you the right to bring proceedings in your local courts.

15.4 EU Online Dispute Resolution

15.5 Costs

Each party shall bear its own costs and expenses in connection with any dispute, including legal fees, unless applicable law provides otherwise.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of laws provisions.

17. General Provisions

17.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and 2Matter regarding the Service and supersede all prior agreements and understandings.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17.3 Waiver

The failure of 2Matter to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

17.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

17.5 Force Majeure

2Matter shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, internet or infrastructure failures, or third-party service outages.

17.6 Language

These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
